def do all of the above if you havent and also check to make sure that your firewall or virus scan isnt blocking the connection as well.... have you tried to redownload the rom to make sure it isnt corrupt? have you tried a different usb to make sure that the usb isnt the thing that is bad?
oh yea, forgot about the firewall. Iolo system mechanic pro's firewall will stop EVERYTHING. I had to reformat my HD to get active sync to work again.
